These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "Customer," or "User") and Seraphex Inc ("Seraphex", "we", "us", or "our"). By accessing or using any Seraphex products or services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Services.
These Terms govern your use of all products and services offered by Seraphex Inc and its subsidiaries, including but not limited to software-as-a-service (SaaS) platforms, web applications, APIs, mobile applications, and related services (collectively, the "Services").
Use of the Services is subject to Seraphex’s Acceptable Use Policy (“AUP”), which is incorporated by reference into these Terms.
To use the Services, you must be at least 13 years of age to create an account and at least 18 years of age (or the age of majority in your jurisdiction) to purchase subscriptions or licenses.
You agree to provide accurate, complete, and current account information and are responsible for maintaining the confidentiality of your account credentials. Seraphex is not responsible for unauthorized access resulting from your failure to safeguard credentials.
Subject to these Terms and applicable fees, Seraphex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes.
You may not reverse engineer, decompile, resell, sublicense, or provide access to the Services outside your organization, or use the Services to violate applicable laws or third-party rights.
Seraphex reserves the right to enforce usage limits based on your subscription plan.
You retain all right, title, and interest in data, content, and materials submitted to the Services ("Customer Data").
You grant Seraphex a limited license to host, process, transmit, and store Customer Data solely to provide and improve the Services, comply with legal obligations, and enforce these Terms.
You are solely responsible for the legality, accuracy, and content of Customer Data and for ensuring that its use complies with applicable laws.
You agree to use the Services in compliance with applicable law and Seraphex’s Acceptable Use Policy (“AUP”), which is incorporated by reference into these Terms.
You agree not to use the Services to upload or distribute unlawful, infringing, abusive, malicious, or fraudulent content, engage in harassment or threats, or circumvent security, billing, or access controls.
Seraphex may suspend or terminate access if it reasonably determines a violation of these Terms or the AUP has occurred.
Paid Services are billed in advance on a subscription basis. Payments are processed through third-party providers such as Stripe or Square and are subject to their respective terms.
Seraphex may modify pricing with at least thirty (30) days’ prior notice. Failure to cancel before a pricing change constitutes acceptance of the new rate.
Refunds, if applicable, are issued on a prorated basis for unused subscription periods and processed within a reasonable time.
The Services are provided on an "as-is" and "as-available" basis. Seraphex does not guarantee uninterrupted or error-free operation and may perform maintenance or modify features at any time.
Seraphex may suspend or terminate access to the Services for violations of these Terms, non-payment, legal compliance, or to protect the security and integrity of the Services.
Upon termination, your license ends. Seraphex may retain or delete Customer Data in accordance with its Privacy Policy and applicable law.
To the maximum extent permitted by law, the Services are provided without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Seraphex’s total aggregate liability arising out of or related to the Services shall not exceed the greater of $5,000 USD or the total fees paid by you to Seraphex in the twelve (12) months preceding the claim.
In no event shall Seraphex be liable for indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities.
You agree to indemnify and hold harmless Seraphex Inc, its officers, directors, and employees from any claims, damages, or liabilities arising from your misuse of the Services, violation of these Terms, or violation of applicable law.
The Services may integrate with third-party services. Seraphex is not responsible for third-party products or services, which are governed by their own terms.
You and Seraphex Inc agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with Seraphex Inc, including the validity, interpretation, breach, or termination thereof (collectively, a “Dispute”), shall be resolved exclusively through final and binding arbitration and not in a court of law.
The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator and shall take place in Macomb County, Michigan, unless otherwise required by applicable law.
The arbitrator shall have exclusive authority to resolve any Dispute, including any issue relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, and any claim that all or any part of this agreement is void or voidable.
Notwithstanding the foregoing, Seraphex Inc retains the right to seek injunctive or equitable relief in a court of competent jurisdiction solely for the purpose of preventing or addressing actual or threatened misuse, infringement, or misappropriation of Seraphex Inc’s intellectual property or confidential information.
Class Action Waiver. You and Seraphex Inc agree that all Disputes shall be brought solely in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding. The arbitrator shall not have authority to consolidate claims or preside over any form of representative or class proceeding.
Each party shall bear its own attorneys’ fees and costs unless otherwise required by applicable law. Arbitration fees shall be allocated in accordance with the rules of the American Arbitration Association.
This agreement to arbitrate shall be governed by the laws of the State of Michigan, without regard to its conflict-of-law principles, and shall survive the termination of these Terms and your use of the Services.
Seraphex may update these Terms from time to time. Material changes will be communicated electronically at least thirty (30) days before taking effect. Continued use of the Services constitutes acceptance of the updated Terms.

Seraphex Inc shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, labor disputes, governmental actions, power failures, internet or telecommunications outages, or failures of third-party service providers.
Performance of the affected obligations shall be suspended for the duration of the force majeure event, and Seraphex Inc shall use commercially reasonable efforts to resume performance as soon as practicable.
You may not assign or transfer these Terms, in whole or in part, whether by operation of law or otherwise, without the prior written consent of Seraphex Inc. Any attempted assignment in violation of this section shall be null and void.
Seraphex Inc may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
By using the Services, you acknowledge that you have read and agreed to these Terms of Service.
